Terms of Service

1. Acceptance of Terms

By accessing or using the NXFLO platform (“Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

NXFLO is agentic infrastructure for marketing operations. The platform provides multi-agent orchestration, data pipelines, server-side tracking, campaign management, and autonomous execution across advertising platforms including Meta, Google, TikTok, LinkedIn, Pinterest, and Snapchat.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your workspace credentials. You must notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to promote illegal activities
  • Generate content that is defamatory, harassing, threatening, or violates third-party rights
  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Circumvent rate limits, authentication mechanisms, or security measures
  • Resell or redistribute access to the Service without written authorization
  • Use the Service to generate spam, phishing content, or misleading advertisements

5. Intellectual Property

Your content. You retain all rights to content you create using the Service, including campaigns, copy, brand memory, and generated assets. NXFLO claims no ownership over your workspace content.

Our platform. The NXFLO platform, including its software, design, and documentation, is owned by NXFLO and protected by intellectual property laws. Your use of the Service does not grant you any rights to our intellectual property beyond the limited license to use the platform.

6. AI-Generated Content

Content generated by the platform is produced by AI models and should be reviewed before publication. NXFLO does not guarantee the accuracy, completeness, or legal compliance of AI-generated content. You are responsible for reviewing and approving all content before deploying it to external platforms.

7. Ad Platform Integrations

When you connect third-party advertising accounts to NXFLO, you authorize us to access and manage those accounts on your behalf through official platform APIs. You represent that you have the authority to grant this access and that your use of ad platforms through NXFLO complies with those platforms' terms of service and advertising policies.

NXFLO acts as a technology provider and does not assume responsibility for ad account compliance, billing disputes, or policy violations on third-party platforms. You remain the advertiser of record for all campaigns created or managed through the Service.

You may revoke NXFLO's access to any connected ad account at any time through the platform settings or directly through the third-party platform's business manager.

By connecting an advertising account, you confirm that you agree to the applicable platform's terms of service, including Meta's Terms of Service, Meta Advertising Standards, Commercial Terms, and any supplemental terms such as the Business Tools Terms or Custom Audiences Terms. You agree not to use NXFLO to facilitate or encourage any violations of those platform policies.

Transparency. For ad campaigns managed through NXFLO, we will disclose to you the amount spent on advertising separately from any NXFLO service fees. Campaign reporting from each advertising platform will be displayed separately and made available to you upon request, using the terminology of the respective platform.

8. Payment and Billing

Paid plans are billed on a recurring basis. You may cancel at any time. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors outside our control, including third-party provider outages.

10. Limitation of Liability

To the maximum extent permitted by law, NXFLO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claims arising from the Service shall not exceed the amount you paid to NXFLO in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days post-termination to allow for data export, after which it is permanently deleted.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use of the Service after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
